Regulations
In addition to the legal and statutory regulations and provisions, the Supervisory Board has established regulations for its functioning. These regulations set out the composition, tasks and powers as well as the working methods of the Supervisory Board. In addition, it also contains rules about the relationship with the shareholders and the Works Council. The regulations also contain rules for dealing with a (possible) conflict of interest and for additional functions of the members of the Supervisory Board.
Committees
The Supervisory Board has two permanent committees. The Audit Committee assists the Supervisory Board in monitoring the integrity of the financial statements of the company, in monitoring the compliance with legal and regulatory requirements, and in monitoring the independence and performance of Alliander’s internal and external auditors
The combined Selection, Appointment and Remuneration Committee assist with the preparation of the selection criteria and appointment procedures for the Supervisory Board and Management Board. This committee also advises the Supervisory Board on the remuneration policy to be pursued for the members of the Supervisory Board and Management Board.
The responsibilities, tasks and methods of the committees are specified in the regulations of the Audit Committee and the Selection-, Appointment and Remuneration Committee. The committees meet independently and carry out preparatory work in a number of sub-areas for the Supervisory Board as a whole. The committees report on the outcome of their meetings in a Supervisory Board meeting. The Supervisory Board as a whole takes decisions based on these reports.
