Tasks en responsibilities

This means, among other things, that the Board of Directors is responsible for:

• formulating and realizing the strategy aimed at long-term value creation and Alliander’s policy, including achieving the resulting results,
• identifying and managing the risks associated with the company’s strategy and activities.
• compliance with all relevant laws and regulations.
• shaping a (business) culture that is focused on long-term value creation.

The Management Board is accountable to the Supervisory Board and the General Meeting of Shareholders. The Management Board is collectively responsible for managing Alliander.

Composition of the Management Board.

Appointment

The members of the Management Board are appointed by the Supervisory Board. Appointments are made in accordance with the diversity policy drawn up by the Supervisory Board for the composition of the Management Board.

Regulations

In addition to the legal regulations and what is included in the articles of association, the Management Board is bound by the regulations of the Management Board. These regulations have been approved by the Supervisory Board. The regulations describe the composition, tasks and powers and working methods of the Board of Directors. Rules are also included regarding the handling of the external account, the Supervisory Board and the shareholders. The regulations also contain rules for dealing with a (possible) conflict of interest and for additional functions of the members of the Management Board.
